01Aceptación de los términosAcceptance of terms
Al acceder o utilizar la plataforma inSUPPLY, incluido el servicio inSUPPLY MVE PREMIUM (el "Servicio"), usted, en nombre propio o de la entidad que representa (el "Cliente"), acepta quedar obligado por estos Términos y Condiciones (los "Términos") y por el Aviso de Privacidad disponible en www.saddlemountain.mx/privacidad. Si no está de acuerdo, absténgase de utilizar el Servicio. El Servicio es proporcionado por Saddlemountain Technologies, S.A.P.I. de C.V. ("Saddlemountain"), con domicilio en Monterrey, Nuevo León, México. By accessing or using the inSUPPLY platform, including the inSUPPLY MVE PREMIUM service (the "Service"), you, on your own behalf or on behalf of the entity you represent (the "Customer"), agree to be bound by these Terms and Conditions (the "Terms") and by the Privacy Policy available at www.saddlemountain.mx/privacidad. If you do not agree, do not use the Service. The Service is provided by Saddlemountain Technologies, S.A.P.I. de C.V. ("Saddlemountain"), with registered address in Monterrey, Nuevo León, Mexico.
Cuando exista un contrato de servicio o una orden de suscripción firmada entre el Cliente y Saddlemountain, dicho documento prevalecerá sobre estos Términos en lo que se contraponga. Where a signed service agreement or subscription order exists between the Customer and Saddlemountain, that document shall prevail over these Terms to the extent of any conflict.
02Descripción del ServicioDescription of the Service
inSUPPLY MVE PREMIUM es un servicio de software como servicio (SaaS) que automatiza la recopilación, clasificación y validación cruzada de documentos de comercio exterior para la integración del expediente de la Manifestación de Valor Electrónica (MVE) en México, conforme al marco aplicable de la Ley Aduanera, su Reglamento y las Reglas Generales de Comercio Exterior. La versión 2.0 incluye además la auditoría del archivo M3 y del PDF Pro Forma de Pedimento, así como el armado y auditoría del Expediente Electrónico Aduanero conforme a reglas configurables, y puede utilizarse en operaciones de otros países, incluyendo Estados Unidos, Canadá y países de América Latina. El Servicio genera reportes de discrepancias, indicadores de completitud documental y entregables de apoyo para los equipos de comercio exterior del Cliente. inSUPPLY MVE PREMIUM is a software-as-a-service (SaaS) offering that automates the collection, classification, and cross-validation of foreign-trade documents for assembling the Electronic Value Manifest (MVE) file in Mexico, in line with the applicable framework of the Mexican Customs Law, its Regulations, and the General Foreign Trade Rules. Version 2.0 additionally includes the audit of the M3 file and the Pro Forma Pedimento PDF, as well as the assembly and audit of the Electronic Customs File under configurable rules, and may be used for operations in other countries, including the United States, Canada, and Latin American countries. The Service produces discrepancy reports, document-completeness indicators, and supporting deliverables for the Customer's foreign-trade teams.
03Cuentas y accesoAccounts and access
- El Cliente es responsable de la veracidad de los datos de registro, de la confidencialidad de las credenciales y de toda actividad realizada bajo sus cuentas de usuario.The Customer is responsible for the accuracy of registration data, the confidentiality of credentials, and all activity carried out under its user accounts.
- El acceso está limitado a usuarios autorizados del Cliente. Está prohibido compartir credenciales o permitir el acceso a terceros no autorizados.Access is limited to the Customer's authorized users. Sharing credentials or allowing access to unauthorized third parties is prohibited.
- El Cliente notificará de inmediato a Saddlemountain cualquier uso no autorizado o incidente de seguridad del que tenga conocimiento.The Customer will promptly notify Saddlemountain of any unauthorized use or security incident of which it becomes aware.
04Suscripción, precios y pagosSubscription, pricing, and payment
El Servicio se ofrece bajo esquemas de suscripción y/o volumen (por ejemplo, número de MVE u operaciones procesadas) conforme a la propuesta comercial, orden de suscripción o, en su caso, la ficha del listado en el marketplace correspondiente. Salvo pacto en contrario, los precios no incluyen impuestos aplicables. La falta de pago podrá dar lugar a la suspensión del acceso previa notificación. The Service is offered under subscription and/or volume-based schemes (e.g., number of MVEs or operations processed) as set out in the commercial proposal, subscription order, or, where applicable, the listing in the relevant marketplace. Unless otherwise agreed, prices exclude applicable taxes. Non-payment may result in suspension of access upon prior notice.
Adquisición a través de Microsoft Marketplace. Cuando el Servicio se contrate a través del marketplace comercial de Microsoft, la facturación, cobro y ciclo de suscripción se rigen adicionalmente por los términos del marketplace de Microsoft. En caso de discrepancia sobre facturación por ese canal, prevalecerán los términos del marketplace. Purchases via Microsoft Marketplace. Where the Service is purchased through the Microsoft commercial marketplace, billing, collection, and the subscription lifecycle are additionally governed by Microsoft's marketplace terms. In case of billing discrepancies through that channel, the marketplace terms shall prevail.
05Datos del Cliente y propiedadCustomer data and ownership
- El Cliente conserva la propiedad de todos los documentos y datos que cargue al Servicio ("Datos del Cliente"). Saddlemountain únicamente los trata para prestar el Servicio, conforme al Aviso de Privacidad.The Customer retains ownership of all documents and data uploaded to the Service ("Customer Data"). Saddlemountain processes them solely to deliver the Service, in accordance with the Privacy Policy.
- Los Datos del Cliente no se utilizan para entrenar modelos de inteligencia artificial de terceros.Customer Data is not used to train third-party artificial intelligence models.
- El Cliente declara contar con los derechos y autorizaciones necesarios sobre los Datos del Cliente y garantiza que su carga y tratamiento no infringe derechos de terceros ni disposición legal alguna.The Customer represents that it holds the necessary rights and authorizations over Customer Data and warrants that its upload and processing do not infringe third-party rights or any legal provision.
- Al terminar la relación, el Cliente podrá solicitar la exportación de sus datos en formatos estándar y su posterior eliminación, salvo la información que Saddlemountain deba conservar por obligación legal.Upon termination, the Customer may request export of its data in standard formats and its subsequent deletion, except for information Saddlemountain must retain by legal obligation.
06Propiedad intelectualIntellectual property
La plataforma inSUPPLY, su software, motores de validación, interfaces, marcas (incluyendo "inSUPPLY", "MVE PREMIUM", "AF-Análisis" y "PGI"), documentación y demás elementos del Servicio son propiedad de Saddlemountain o de sus licenciantes y están protegidos por las leyes de propiedad intelectual aplicables. Se otorga al Cliente una licencia limitada, no exclusiva, intransferible y revocable para usar el Servicio durante la vigencia de su suscripción, exclusivamente para sus operaciones internas. Queda prohibido copiar, modificar, descompilar, realizar ingeniería inversa, revender o crear obras derivadas del Servicio. The inSUPPLY platform, its software, validation engines, interfaces, trademarks (including "inSUPPLY", "MVE PREMIUM", "AF-Análisis", and "PGI"), documentation, and other elements of the Service are the property of Saddlemountain or its licensors and are protected by applicable intellectual property laws. The Customer is granted a limited, non-exclusive, non-transferable, revocable license to use the Service during the term of its subscription, solely for its internal operations. Copying, modifying, decompiling, reverse engineering, reselling, or creating derivative works of the Service is prohibited.
07Uso aceptableAcceptable use
El Cliente se obliga a no:The Customer agrees not to:
- Usar el Servicio para fines ilícitos o en contravención de la normatividad aduanera, fiscal o de protección de datos.Use the Service for unlawful purposes or in violation of customs, tax, or data protection regulations.
- Intentar vulnerar la seguridad del Servicio, acceder a datos de otros clientes o interferir con su disponibilidad.Attempt to breach the Service's security, access other customers' data, or interfere with its availability.
- Cargar código malicioso o contenido que infrinja derechos de terceros.Upload malicious code or content that infringes third-party rights.
- Realizar pruebas de carga, escaneos o auditorías de seguridad sin autorización previa por escrito.Conduct load testing, scanning, or security audits without prior written authorization.
08Disponibilidad, soporte y cambios al ServicioAvailability, support, and Service changes
Saddlemountain realizará esfuerzos comercialmente razonables para mantener el Servicio disponible de manera continua, con excepción de ventanas de mantenimiento programado (notificadas con anticipación razonable) y eventos fuera de su control. El soporte se brinda por correo electrónico en info@saddlemountain.mx en días y horas hábiles de México. Saddlemountain podrá mejorar, modificar o actualizar funcionalidades del Servicio, siempre que no se degrade materialmente su funcionalidad esencial durante la vigencia de la suscripción. Saddlemountain will use commercially reasonable efforts to keep the Service continuously available, except for scheduled maintenance windows (notified with reasonable advance notice) and events beyond its control. Support is provided by email at info@saddlemountain.mx during Mexican business days and hours. Saddlemountain may enhance, modify, or update Service features, provided its essential functionality is not materially degraded during the subscription term.
09ConfidencialidadConfidentiality
Cada parte protegerá la información confidencial de la otra con el mismo grado de cuidado con que protege la propia (y nunca menor a un cuidado razonable), la utilizará únicamente para los fines de la relación contractual y no la divulgará a terceros salvo obligación legal o autorización expresa. Esta obligación subsiste a la terminación del Servicio. Each party will protect the other's confidential information with the same degree of care it uses for its own (and never less than reasonable care), use it solely for the purposes of the contractual relationship, and not disclose it to third parties except as required by law or with express authorization. This obligation survives termination of the Service.
10Garantías y limitación de responsabilidadWarranties and limitation of liability
El Servicio se proporciona "tal cual" y "según disponibilidad". En la máxima medida permitida por la ley aplicable: (i) Saddlemountain no garantiza que el Servicio esté libre de errores o interrupciones, ni que detecte la totalidad de discrepancias posibles en la documentación analizada; (ii) Saddlemountain no será responsable por daños indirectos, incidentales, consecuenciales, pérdida de utilidades o de información; y (iii) la responsabilidad total acumulada de Saddlemountain frente al Cliente no excederá el monto efectivamente pagado por el Cliente por el Servicio durante los doce (12) meses anteriores al hecho que origine la reclamación. Nada en estos Términos limita responsabilidades que no puedan limitarse conforme a la ley aplicable. The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law: (i) Saddlemountain does not warrant that the Service will be error-free or uninterrupted, or that it will detect every possible discrepancy in the analyzed documentation; (ii) Saddlemountain shall not be liable for indirect, incidental, or consequential damages, loss of profits, or loss of data; and (iii) Saddlemountain's total aggregate liability to the Customer shall not exceed the amount actually paid by the Customer for the Service during the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liabilities that cannot be limited under applicable law.
11Vigencia, suspensión y terminaciónTerm, suspension, and termination
Estos Términos surten efectos desde el primer acceso al Servicio y permanecen vigentes mientras exista una suscripción activa. Cualquiera de las partes podrá dar por terminada la relación por incumplimiento material no subsanado dentro de los 30 días naturales siguientes a la notificación. Saddlemountain podrá suspender el acceso de forma inmediata ante riesgos de seguridad, uso indebido o requerimiento de autoridad. A la terminación, cesará la licencia de uso y aplicará lo previsto en la sección 05 respecto de la exportación y eliminación de Datos del Cliente. These Terms take effect upon first access to the Service and remain in force while an active subscription exists. Either party may terminate for material breach not cured within 30 calendar days of notice. Saddlemountain may suspend access immediately in the event of security risks, misuse, or a governmental order. Upon termination, the license to use the Service ends and section 05 applies with respect to export and deletion of Customer Data.
12Ley aplicable y jurisdicciónGoverning law and jurisdiction
Estos Términos se rigen por las leyes federales de los Estados Unidos Mexicanos. Para cualquier controversia, las partes se someten a la jurisdicción de los tribunales competentes de Monterrey, Nuevo León, México, renunciando a cualquier otro fuero que pudiera corresponderles por razón de sus domicilios presentes o futuros. These Terms are governed by the federal laws of the United Mexican States. For any dispute, the parties submit to the jurisdiction of the competent courts of Monterrey, Nuevo León, Mexico, waiving any other venue to which they may be entitled by reason of their present or future domiciles.
13Modificaciones a estos TérminosChanges to these Terms
Saddlemountain podrá actualizar estos Términos publicando la versión vigente en www.saddlemountain.mx/terminos con su fecha de última actualización. Los cambios sustanciales se notificarán a los clientes con suscripción activa con al menos 30 días de anticipación. El uso continuado del Servicio después de la fecha de entrada en vigor constituye aceptación de los nuevos Términos. Saddlemountain may update these Terms by publishing the current version at www.saddlemountain.mx/terminos with its last-updated date. Material changes will be notified to customers with active subscriptions at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance of the new Terms.
